Terms of Service
These Terms govern access to and use of the A2AC partner-managed SaaS platform, including A2AC Cloud, Cube Protocol-based workflow coordination, APIs, admin console features, and optional edge-node connectivity.
These Terms apply to A2AC Cloud and related SaaS services unless superseded by a signed agreement, order form, private offer, or applicable Google Cloud Marketplace term.
1. Agreement
These Terms are between A2AC LLC ("A2AC," "we," "us") and the customer or organization accessing the service ("Customer," "you"). If you subscribe through Google Cloud Marketplace, Marketplace billing and entitlement terms also apply.
2. Access and License Grant
Subject to these Terms, payment of applicable fees, and an active Google Cloud Marketplace entitlement or written order, A2AC grants Customer a limited, non-exclusive, non-transferable right to access and use the service for Customer's internal business operations.
3. Service Description
A2AC provides a cloud coordination plane for agents, models, SaaS tools, enterprise systems, workflows, and optional edge nodes. The service routes structured task, result, and error records between approved systems based on customer configuration.
4. Platform Architecture and Data Residency
A2AC is a partner-managed SaaS application. The coordination infrastructure, APIs, workflow state, and logging systems are hosted within A2AC LLC's Google Cloud environment. Customer acknowledges that data transmitted through the A2AC API is processed on A2AC-managed infrastructure and may be routed to customer-approved models, connectors, and edge nodes.
5. Access and Administration
Customer is responsible for administrator accounts, API keys, connector configuration, edge-node configuration, approved model providers, and any systems connected to A2AC. Customer must keep credentials secure and promptly revoke access that is no longer authorized.
6. Acceptable Use
Customer must not use A2AC to:
- Violate applicable law or third-party rights.
- Attempt unauthorized access to A2AC, other tenants, Google Cloud Marketplace systems, or connected third-party systems.
- Transmit malware, harmful code, or intentionally disruptive traffic.
- Bypass usage limits, security controls, entitlement checks, or access restrictions.
- Route data to models, connectors, or systems without appropriate authorization.
7. Customer Data
Customer retains ownership of Customer Data. Customer grants A2AC the rights needed to process Customer Data for the purpose of providing, securing, supporting, and operating the service. A2AC LLC does not use Customer Data to train, retrain, or improve foundational AI models. Customer is responsible for the legality, accuracy, and authorization of Customer Data submitted to A2AC or routed through connected systems.
8. Models, Connectors, and Edge Nodes
A2AC is model-agnostic and may route work to Vertex AI, customer-approved model endpoints, external provider APIs, or private edge nodes based on tenant configuration. Customer is responsible for approvals, data-sharing decisions, and compliance obligations related to those destinations.
9. Third-Party Model Outputs
A2AC provides the coordination layer but does not control third-party foundational models or connected systems. A2AC does not warrant the accuracy, completeness, safety, legality, or reliability of outputs generated by third-party models or external systems. Customer remains responsible for human review, approval workflows, and use of AI-generated or system-generated outputs.
10. Security
A2AC is designed with tenant-scoped access controls, hashed API key storage, scoped authorization, structured audit records, and Google Cloud infrastructure controls. Customer is responsible for configuring authorized users, API keys, connectors, and edge nodes securely.
11. Fees and Marketplace Billing
If Customer subscribes through Google Cloud Marketplace, fees, billing cycles, cancellations, and entitlement state are managed through Google Cloud Marketplace unless otherwise stated in a written order or private offer.
12. Cancellation and Data Retention
Access to the service depends on an active Marketplace entitlement or written order. If an entitlement is cancelled, suspended, or expires, A2AC may revoke API access and place tenant data into a soft-deleted state for a 30-day grace period before deletion, unless a different period is required by law or written agreement.
13. Service Changes
A2AC may update the service to improve security, reliability, compatibility, performance, or functionality. Material changes to paid plans or customer commitments will be handled according to the applicable order, Marketplace listing, or written agreement.
14. Disclaimers
A2AC coordinates systems and workflows but does not guarantee the accuracy, completeness, legality, or business outcome of model outputs or connected-system responses. Customer remains responsible for human review, approval workflows, compliance controls, and use of AI-generated or system-generated outputs.
15. Limitation of Liability
To the maximum extent permitted by applicable law, A2AC LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, data, or business opportunity arising from use of the service.
16. Suspension
A2AC may suspend access if required to protect the service, prevent unauthorized access, respond to security risks, comply with legal obligations, or reflect Marketplace entitlement status.
